1 Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "Referral Partner", or "User") and SB Business Support Co PTY Ltd (Thailand), Company No. 0455565001630 ("we", "us", "SBBS").
By accessing this website, enquiring about our services, placing an order, or entering into any agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use this website or engage our services.
2 Services
SB Business Support provides AI automation consulting, Excel and data solutions, AI video production, and related business support services to small and medium-sized businesses globally.
All services are provided on a project or package basis as agreed in writing prior to commencement. We reserve the right to decline any engagement at our discretion. We do not guarantee any specific business outcome resulting from our services.
Service descriptions on this website are for general information only. The exact scope, deliverables, and timeline of any engagement will be confirmed in a written project specification or agreement before work begins.
3 Client Engagements
The following terms apply to all client engagements with SBBS:
- All work requires payment of the agreed fees in full in advance before work commences.
- Work will be completed in accordance with the agreed written job specification. Changes to scope requested after work has commenced may require a revised agreement and additional fees.
- On-time delivery is subject to the client's responsiveness to queries and requests for information. Delays arising from a failure to respond in a timely manner are the client's responsibility and do not constitute a breach on the part of SBBS.
- Reasonable revisions and updates are included within the agreed scope of work. Revisions that substantially alter the original brief or fall outside the agreed scope may incur additional charges.
- The client is responsible for providing accurate, complete, and timely information necessary to fulfil the agreed scope. SBBS accepts no liability for errors or delays arising from incomplete or incorrect information provided by the client.
- Deliverables remain the property of SBBS until payment has been received in full, at which point ownership transfers to the client as agreed.
4 Payment Terms
All fees are quoted and invoiced in the currency agreed at the time of engagement. Quoted prices are exclusive of any applicable taxes unless stated otherwise.
- All payments are required in advance and in full prior to commencement of any work.
- All payments are final. No refunds will be provided under any circumstances once payment has been received and work has commenced.
- In the event that a project is cancelled by the client after work has commenced, no refund of fees paid will be made.
- SBBS reserves the right to withhold delivery of completed work until all outstanding payments have been received in full.
- Any bank transfer fees, currency conversion costs, or payment processing charges are the sole responsibility of the client.
5 Intellectual Property
All intellectual property rights in deliverables produced by SBBS transfer to the client upon receipt of full payment, except where otherwise agreed in writing.
SBBS retains the right to use general methodologies, techniques, and know-how developed during the course of providing services. We may reference the existence of an engagement as a case study or portfolio example unless the client has requested confidentiality in writing.
The client warrants that any materials, data, images, or content provided to SBBS for use in a project are owned by the client or that appropriate rights and licences are held to use them. The client indemnifies SBBS against any third-party claims arising from the use of client-supplied materials.
6 Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement and not to disclose such information to third parties without prior written consent.
This obligation does not apply to information that is publicly available, was already known to the receiving party prior to disclosure, or is required to be disclosed by law or regulation.
Where a separate Non-Disclosure Agreement (NDA) is signed, the terms of that NDA will prevail. In the absence of an NDA, these Terms apply.
7 Limitation of Liability
To the maximum extent permitted by applicable law, SBBS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or business interruption, arising from or in connection with our services or these Terms.
Our total aggregate liability to any client shall not exceed the total fees paid by that client for the specific project giving rise to the claim.
SBBS does not warrant that its services will meet all of the client's requirements or that results will be error-free. We will, however, use reasonable skill and care in the performance of all services.
Nothing in these Terms limits liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
8 Referral Partners
The following terms apply to all individuals or entities that have entered into a referral agreement with SBBS ("Referral Agent" or "Agent"):
- Referral commissions are paid at the rate explicitly agreed in your individual referral agreement with SBBS. No other rate applies, and verbal agreements or informal understandings are not binding.
- Commission payments are made within 7 days of receipt of cleared funds from the referred client. No commission is payable until SBBS has received full cleared payment.
- Referral Agents may only use legal, honest, and legitimate promotion and marketing strategies when representing or generating referrals for SBBS. Misleading claims, unsolicited contact in breach of applicable law, or any form of deceptive marketing are strictly prohibited.
- All costs associated with generating referrals — including advertising, marketing, outreach, and any other expenses — are the sole responsibility of the Agent. SBBS will not reimburse any such costs under any circumstances.
- The Agent is solely responsible for any legal disputes, claims, or costs arising from their own conduct in promoting SBBS, including misleading representations, breach of consumer law, or unlawful marketing practices.
- SBBS reserves the right to terminate any referral partnership at any time, with or without cause, by providing written notice to the Agent. Commissions already earned on cleared payments received prior to termination will be honoured.
- If an Agent is found to be using unethical, deceptive, or unlawful practices to promote SBBS, their referral agreement will be terminated immediately and any outstanding or accrued commissions will be forfeited in their entirety.
- Agents may not make representations or promises on behalf of SBBS, enter into agreements on SBBS's behalf, or hold themselves out as employees or legal representatives of SBBS.
9 Website Use
This website is provided for general information purposes. While we endeavour to keep content accurate and up to date, we make no warranties regarding the completeness, accuracy, or fitness for purpose of any information on this site.
You may not use this website for any unlawful purpose, to transmit harmful or malicious content, to attempt unauthorised access to any part of our systems, or in any way that may damage, disable, or impair the site or its availability to others.
SBBS reserves the right to modify or discontinue the website or any part of it at any time without notice.
10 Privacy
SBBS collects and processes personal data in connection with client engagements, website enquiries, and referral arrangements. We handle all personal data in accordance with applicable privacy laws.
Personal data collected will only be used for the purpose of delivering services, communicating with clients and partners, and fulfilling our contractual and legal obligations. We do not sell personal data to third parties.
By engaging our services or submitting an enquiry, you consent to us contacting you in connection with that enquiry or engagement.
11 Governing Law
These Terms are governed by the laws of Thailand, where SB Business Support Co PTY Ltd is registered and operates. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Thailand.
Where a client is located in another jurisdiction, mandatory consumer protection laws of that jurisdiction may also apply and are not excluded by these Terms.
12 Changes to These Terms
SBBS reserves the right to update these Terms at any time. Updated Terms will be published on this page with a revised effective date. Continued use of our website or services following any update constitutes acceptance of the revised Terms.
For active engagements, the Terms in place at the time of the original agreement will apply unless both parties agree in writing to adopt updated Terms.
